1. Treasury Wine Estates Vintners Limited ABN 55 004 094 599 (TWE) operates the CellarDoor Unlocked Loyalty Program (the Program) for members of CellarDoor.co.
2. All members of CellarDoor.co with an Australian residential address are automatically eligible for the Program.
3. Participation in the Program is subject to the Terms and Conditions and Conditions of Sale that apply to CellarDoor.co.
4. These Program Terms and Conditions are a binding agreement between TWE and each member of CellarDoor.co.
5. By participating in the Program, you agree to the Terms and Conditions of the Program set out herein and our Privacy Policy available at https://www.tweglobal.com/privacy (Privacy Policy). Please read these Terms and Conditions and Privacy Policy carefully before you use and/or participate in the Program. Refer to our Privacy Policy for more details regarding use of your personal information and opt out procedures.
Program Tiers
1. Each member may qualify for a level of Program membership (a Level) according to the amount that member has spent in the preceding 12 month period (the member's 12 Month Spend). Only cash expenditure on the following is counted for this purpose – expenditure:
A. through the CellarDoor.co website;
B. on CellarDoor.co wine plans;
C. on CellarDoor.co telephone sales;
D. on wine purchases at official CellarDoor.co events;
E. on tickets to official CellarDoor.co events; and
F. wine purchases at Cellardoor@161 store.
A member’s 12 Month Spend will include GST but excludes returns, refunds, and any purchases made using reward points.
2. Expenditures are counted only once cash is received by TWE. If TWE provides a refund for any reason of any relevant cash expenditure paid by a member, the refunded amount will be deducted from that member's 12 Month Spend.
3. Each member will be allocated (or not allocated, as applicable) to a Level as follows:

4. Each member's allocation to a Level will last for 12 months from when they are allocated to that Level, subject to the following:
A. a member allocated to a Level may be allocated to a higher Level during that 12 month period, based on further eligible expenditure, in accordance with the above clauses – in that case, the 12 month period will begin again from the time of allocation to a higher Level; and
B. at the end of the 12 month period, the member will again be allocated (or not allocated, as applicable) to a Level in accordance with the above clauses.
Level Benefits
1. Each member who is allocated to a Level will receive the benefits outlined below while they are on that Level:

# Unlocked Credits can be redeemed on a curated selection of products, which are subject to availability and cannot be exchanged. You can view the current selection online at https://www.cellardoor.co/offers/unlocked-credits. Unlocked Credits are not transferable and will expire after a period of 7 days.
· The following terms apply to benefits listed in the above table:
A. Benefits cannot be transferred, exchanged or redeemed for cash.
B. Birthday vouchers cannot be used in conjunction with any other discount vouchers or codes and are subject to any further terms stated on or with the vouchers. Limit one (1) birthday voucher per person per year. Members will only be notified if they are subscribed to receive emails.
C. The CellarDoor Unlocked Credits promotion will be communicated to eligible members via email in January, April, July and October each year. To receive the promotion email, eligible members must be subscribed to CellarDoor.co email communications. Each member who receives a promotional email may redeem their CellarDoor Unlocked Credits on a curated selection of products available here on the CellarDoor.co website, which are subject to availability and cannot be exchanged. Eligible members of CellarDoor Unlocked will be able to redeem their Unlocked Credit for a limited period of 7 days, as stated in the email communication. Unlocked Credits are not transferable and cannot be redeemed for cash. The dates on which eligibility of members to receive a CellarDoor Unlocked Credits will be determined, which is generally in January, April, July and October each year, and may be updated by TWE from time to time without notice. Any transactions that occur on or after the eligibility review date will not be included in the member’s 12 Month Spend. If the eligibility review date falls on a weekend or public holiday in Victoria, the eligibility review will take place on the next business day.
D. Limit of one (1) CellarDoor Unlocked Credit voucher per person each January, April, July and October.
E. Event tickets can only be used once and are subject to any further terms stated on or with the tickets. Conditions of entry into any event venues (including behaviour requirements and applicable dress codes) may apply. If for any reason a member cannot attend an event they have registered for, or if an event is abandoned, called off or postponed for any reason beyond TWE's reasonable control, the member forfeits any entitlement to attend that event and will not be given any cash or other substitute. If a member attending an event in TWE's reasonable opinion is intoxicated, behaves aggressively or offensively, or behaves in a manner which may diminish the good name or reputation of TWE or any of its related entities or contractors, is contrary to law or is otherwise inappropriate, TWE may prevent them from participating in the event.
F. Any rewards, benefits or other offers communicated as part of the Program may include specific offer terms and conditions, including expiry dates and redemption conditions. Only CellarDoor.co members who receive our communications are eligible to use and redeem any Program rewards, benefits or offers
G. All rewards, benefits or offers (or elements thereof) communicated as part of the Program are subject to availability. If a benefit (or element of a benefit) is unavailable for any reason, TWE may provide another benefit of equal or higher value.
Change of Details
1. You should notify TWE of any change of name, address, contact number or email address by updating your details online at https://www.cellardoor.co or calling us on 1300 893 946.
2. TWE will not be responsible for any failure by you to notify us of your change of details, which may result in you not obtaining the benefit of CellarDoor Unlocked Loyalty Program communications, rewards or benefits.
Liability
1. Nothing in these CellarDoor Unlocked Loyalty Program Terms and Conditions restricts, excludes or modifies any consumer rights that members may have under any statute including the Competition and Consumer Act 2010 (Cth).
2. Except for conditions, warranties and representations expressly stated in these CellarDoor Unlocked Loyalty Program Terms and Conditions, to the extent permitted by law each party excludes all conditions, warranties and representations under or in connection with the Program and these CellarDoor Unlocked Loyalty Program Terms and Conditions
3. To the extent permitted by law, a party's liability for breach of any condition, warranty or guarantee imposed by statute that cannot be excluded and the other party's sole and exclusive remedy in relation to such breach will be limited to (at the first party's election):
A. in the case of goods:
i. replacement or repair of the goods or supplying the equivalent goods again; or
ii. paying the cost of replacing or repairing the goods or of acquiring equivalent goods; and
B. in the case of services:
i. supplying the services again; or
ii. paying the cost of having the services supplied again.
4. To the full extent permitted by law, neither party is liable to the other party for any Consequential Loss arising out of or in relation to the Program or these CellarDoor Unlocked Loyalty Program Terms and Conditions. In this clause, Consequential Loss means special, incidental, punitive, exemplary, indirect or consequential losses, as well as business interruption losses, loss of revenue, anticipated savings, profits, goodwill, reputation, interest or business opportunity, and loss of information or data (including the costs of recovering or reconstructing any lost or corrupted data).
5. Each party's total aggregate liability in respect of any claim, loss, damage, expense or liability arising under or in connection with the Program or these CellarDoor Unlocked Loyalty Program Terms and Conditions (including in negligence) will not exceed $10,000.
6. Each party's liability under or in connection with the Program or these CellarDoor Unlocked Loyalty Program Terms and Conditions (including in negligence) will be reduced by the extent, if any, to which the other party contributed to that liability.
General Terms and Conditions
1. TWE is not responsible for any tax implications arising from any member participating in the Program or receiving any benefit under it.
2. TWE may exclude or suspend a member from the Program or from receiving benefits under the Program if the member:
A. engages in any conduct that may jeopardise the fair and proper conduct of the Program;
B. acts in a disruptive, annoying, threatening, abusive or harassing manner;
C. does anything that may diminish the good name or reputation of TWE, its brands, or any of its related entities or contractors;
D. breaches any law in connection with the Program or their participation in the Program; or
E. behaves in a way that is otherwise inappropriate in TWE’s reasonable opinion.
3. Neither party will be responsible for a failure to perform any obligation under these CellarDoor Unlocked Loyalty Program Terms and Conditions or in connection with the Program to the extent that it is caused by a Force Majeure Event, provided that such party has:
A. taken all reasonable steps to prevent and avoid the effects of the Force Majeure Event;
B. taken all reasonable steps to overcome and mitigate the effects of the Force Majeure Event as soon as reasonably practicable; and
C. provided reasonable notice to the other party of the impact of the Force Majeure Event.
In this clause, Force Majeure Event means an event or circumstance whose occurrence and effects could not reasonably have been prevented or overcome, such as earthquake, war, natural disaster, fire, flood, storm, riot, civil commotion, industrial dispute, malicious damage, failure of any utility service or transport network, virus, denial of service attack, other acts or omissions or service outages by third parties, or breakdown of plant or equipment.
4. A member must not assign or attempt to assign any right or liability under these CellarDoor Unlocked Loyalty Program Terms and Conditions without the prior written consent of TWE. TWE may assign its rights and liabilities under these CellarDoor Unlocked Loyalty Program Terms and Conditions, or novate these CellarDoor Unlocked Loyalty Program Terms and Conditions, to a related company that has the resources and expertise to fully perform these CellarDoor Unlocked Loyalty Program Terms and Conditions and each member must provide all reasonable co-operation for this purpose.
5. Any term of these CellarDoor Unlocked Loyalty Program Terms and Conditions that is expressed to survive, or by its nature survives, the termination or expiry of these CellarDoor Unlocked Loyalty Program Terms and Conditions will survive and continue in effect following termination or expiry of these CellarDoor Unlocked Loyalty Program Terms and Conditions.
6. All references to $ in these CellarDoor Unlocked Loyalty Program Terms and Conditions are to Australian dollars.
7. TWE may amend these CellarDoor Unlocked Loyalty Program Terms and Conditions from time to time, provided that the amendments do not cause unreasonable financial or other detriment to members. The amended CellarDoor Unlocked Loyalty Program Terms and Conditions will apply from the time they are posted on the CellarDoor.co website or otherwise notified to members.
8. TWE may terminate the Program by notifying members on the CellarDoor.co website or otherwise, provided that TWE provides sufficient notice so that the termination does not cause unreasonable financial or other detriment to members.
9. These CellarDoor Unlocked Loyalty Program Terms and Conditions are governed by the laws of Victoria, Australia.
